Terms and Conditions of Sale
Global Pharma Distributor (“we”, “us”, “the Companies”)
Customer/Client (“you”, “your”, “yours”)
These Terms and Conditions apply to all sales by Global Pharma Distributor (“the Companies”) and shall prevail over your terms and conditions (if any), whether printed on any invoice, order, quotation, specification, or other document provided by you.
These are the only terms and conditions upon which Global Pharma Distributor is willing to supply products to you.
1. Conditions
These conditions (as may be updated from time to time) apply to all orders placed by you, to the exclusion of all other terms and conditions.
These terms supersede any specific product terms or earlier conditions.
We may amend these conditions in writing at any time, including by publishing updates on our website.
Orders placed by your employees, agents, or contractors will be treated as valid. We accept no liability for verifying their authorisation.
Compliance checks will be required before your first order, and periodically thereafter. Failure to provide required documents may delay supply of goods.
2. Orders
Orders are only accepted once confirmed by us or upon delivery.
Each order constitutes a separate contract.
Orders are subject to availability and may be refused at our discretion.
You are responsible for accurately identifying the products you require.
If you cancel an order, you must indemnify us against any loss or costs incurred.
No refunds are available for Cold Chain goods unless you prove proper storage conditions were maintained.
Ex-works goods must be collected within 10 working days of packing; otherwise, storage fees will apply.
Quotations are valid for 10 working days. Prices may be re-quoted if market conditions change.
3. Delivery
Unless otherwise stated, quoted prices include UK delivery to the agreed address. Extra costs (including transport increases) will be notified prior to delivery.
Delivery dates are estimates only. We are not liable for delays.
Partial deliveries may be invoiced separately, with remaining items delivered later.
Each instalment is a separate contract; failure of one does not terminate the entire order.
A signed delivery note constitutes full acceptance of goods.
If you fail to accept delivery, we may:

Store the products at your cost (including insurance), or

Resell them and recover any shortfall from you.
We may suspend deliveries or demand payment at any time, regardless of prior arrangements.
For international deliveries (outside the UK), delivery is ex works (Incoterms 2020). You are responsible for carriage and insurance.
We are not responsible for customs related queries. To the best of our knowledge, you as the importer and customer have declared upon the confirmation of transaction for the product that you can import these goods.
Where possible we can provide details necessary that sit under the terms of exporting the goods.
4. Price
Prices are as per our current price file at order acceptance, unless under a special promotion.
Prices exclude VAT, taxes, and duties, which are payable in addition.
Prices may change without notice.
Pallet and container charges may apply if returns are damaged or not made within 10 days.
Account surcharges may apply by delivery address.
5. Payment
We will invoice on or after delivery, unless delivery is refused, in which case we may invoice immediately.
Credit terms are discretionary and subject to review. You agree to provide updated financial information when requested.
Credit checks may be conducted before granting terms.
Unless otherwise agreed, payment must be received by the last working day of the month following invoice date.
Customers without credit terms must pay upfront.
In the event of non-payment, we may:

Suspend deliveries,

Cancel discounts,
-
Recover products (with right of entry to your premises),
-
Demand immediate payment of all outstanding invoices,

Charge costs of collection and interest at 5% above Bank of England base rate.
Payments must be made via Direct Debit, BACS, CHAPS, credit card, or cheque (if agreed).
You may not withhold payment or set off amounts owed to you.
6. Risk and Property
Risk passes to you upon delivery (or attempted delivery if refused).
Ownership passes only when all sums owed to us are paid in full.
Until ownership passes, you must:

Store goods separately and identifiable,

Maintain them in good condition and insured at full value,

Not pledge or charge goods without our written consent.
You may resell goods in the ordinary course of business, but proceeds must be held on trust for us.
We may repossess goods at any time prior to ownership transfer.
7. Liability
We are not liable for shortages, faults, or damages unless notified within two working days.
Liability is limited to replacement, refund, or credit note (at our discretion).
No refunds are available for Cold Chain products unless stored correctly.
You must comply with our returns policy and provide required documentation.
We are not liable for:

Loss caused by abnormal storage, negligence, or misuse,

Consequential or economic loss,
-
Circumstances beyond our control.
Our liability shall not exceed the product price.
Nothing in these terms excludes liability for death or personal injury caused by negligence.
8. Your Information
You consent to us using your data for administration, marketing, credit checks, and compliance with regulations.
We comply with GDPR (2018) and related data protection legislation.
We will use appropriate security measures to protect your data.
You may request updates or deletion of personal data by contacting our Data Protection Officer.
All information provided must be accurate, and you consent to verification with relevant third parties.
9. General
We may transfer our rights under these conditions to any third party.
You may not transfer your rights without our consent.
Notices must be in writing and sent to the agreed addresses.
Invalid or unenforceable clauses will not affect the remaining terms.
Except as stated, these terms do not confer rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
We may charge £10 per copy for requested documents.
We comply with the UK Bribery Act and require all customers and partners to uphold anti-corruption principles.
