Terms and Conditions of Sale
Global Pharma Distributor (“we”, “us”, “the Companies”)
Customer/Client (“you”, “your”, “yours”)
These Terms and Conditions govern all sales of goods by Global Pharma Distributor (“we”, “our”, “us”). By placing an order, you (“the Customer”) accept these Terms in full. No variation will apply unless agreed in writing by Global Pharma Distributor.
Goods means OTC, GSL, P, POM or any other saleable good or service
1. Conditions
These conditions (as may be updated from time to time) apply to all orders placed by you, to the exclusion of all other terms and conditions.
These terms supersede any specific product terms or earlier conditions.
We may amend these conditions in writing at any time, including by publishing updates on our website.
Orders placed by your employees, agents, or contractors will be treated as valid. We accept no liability for verifying their authorisation.
Compliance checks will be required before your first order, and periodically thereafter. Failure to provide required documents may delay supply of goods.
2. Orders and Refunds
2.1 Orders are accepted subject to availability and written confirmation.
2.2 Once confirmed, orders are binding and cannot be cancelled without our written consent.
2.3 Prices are quoted in GBP unless otherwise agreed and exclude VAT, taxes, and shipping.
2.4 No refunds are available for goods unless you can demonstrate that correct storage conditions were maintained throughout transit.
2.5 Refunds or credits are issued solely at the discretion of Global Pharma Distributor and only where goods are proven defective, damaged in transit under our control, or not in accordance with the confirmed order.
2.6 No refunds, credits, or replacements will be issued for goods refused, detained, delayed, or returned by foreign customs authorities, regulatory bodies, or couriers following export.
2.7 All export orders are subject to a Minimum Order Value (MOV), as specified in writing or via quotation at the time of sale. The MOV represents the minimum commercial threshold required to cover regulatory, administrative, and export processing costs associated with the supply of pharmaceutical and healthcare products. Orders placed below this value may be declined or, if accepted, may incur an additional handling or service fee.
Where a shipment is returned, refused, or cancelled after dispatch, the MOV remains applicable and non-refundable.
2.8 Where a Customer requests early shipment before the full order value or quantity has been fulfilled, Global Pharma Distributor may, at its discretion, dispatch part of the order in advance. In such cases, the MOV remains applicable and non-refundable, even if the total goods value shipped is lower than the MOV.
2.9 If a Customer elects to ship early or in part, any unallocated funds not applied to the goods dispatched will be held as a credit on account for future use, unless otherwise agreed in writing. Such credits are valid for 12 months from the original invoice date and are non-refundable.
3. Delivery and Import Responsibility
3.1 Delivery dates are estimates only. We shall not be liable for delays caused by third parties, customs, or regulatory authorities.
3.2 Unless otherwise agreed in writing, delivery outside the United Kingdom shall occur Ex Works (Incoterms 2020) from our premises.
3.3 Once goods have departed from our warehouse premises in the United Kingdom, Global Pharma Distributor accepts no responsibility for customs clearance, import approval, or regulatory compliance in the destination country.
3.4 You are solely responsible for ensuring that all import licences, permits, and regulatory approvals required in the destination country are obtained prior to shipment. While we may provide standard export documentation such as the commercial invoice or packing list, it remains the importer’s sole responsibility to obtain any additional documentation or regulatory authorisations required by customs or authorities in the destination country.
3.5 We are not responsible for customs clearance, FDA or EMA or similar registration, or any import-related documentation required in the receiving country.
3.6 You declare that you are legally authorised to import the goods into the final destination.
3.7 If a shipment is refused entry, delayed, seized, or returned by customs or regulators, all associated costs and consequences shall be borne by the importer of record. Returned goods cannot be resold or refunded.
4. Price
4.1 Payment is due as per agreed terms stated on the invoice.
4.2 Ownership of goods remains with Global Pharma Distributor until full payment is received.
4.3 We reserve the right to withhold future deliveries in the event of outstanding balances.
5. Payment
We will invoice on or after delivery, unless delivery is refused, in which case we may invoice immediately.
Credit terms are discretionary and subject to review. You agree to provide updated financial information when requested.
Credit checks may be conducted before granting terms.
Unless otherwise agreed, payment must be received by the last working day of the month following invoice date.
Customers without credit terms must pay upfront.
In the event of non-payment, we may:

Suspend deliveries,

Cancel discounts,
-
Recover products (with right of entry to your premises),

Demand immediate payment of all outstanding invoices,

Charge costs of collection and interest at 5% above Bank of England base rate.
Payments must be made via Direct Debit, BACS, CHAPS, credit card, or cheque (if agreed).
You may not withhold payment or set off amounts owed to you.
6. Risk and Property
5.1 Risk passes to you upon delivery, or upon attempted delivery if goods are refused or held.
5.2 Once dispatched, all insurance, customs clearance, and local compliance obligations become the importer’s responsibility.
5.3 Risk passes to you upon delivery (or attempted delivery if refused).
Ownership passes only when all sums owed to us are paid in full.
Until ownership passes, you must:

Store goods separately and identifiable,

Maintain them in good condition and insured at full value,

Not pledge or charge goods without our written consent.
You may resell goods in the ordinary course of business, but proceeds must be held on trust for us.
We may repossess goods at any time prior to ownership transfer.
7. Liability
7.2 Returned or re-imported products are classified as non-saleable and will be quarantined and destroyed in accordance with quality procedures.
7.3 You must not resell, repackage, or redistribute goods contrary to their intended use or marketing authorisation.
We are not liable for shortages, faults, failed importing of goods or damages unless notified within two working days.
Liability is limited to replacement, refund, or credit note.
7A. Rejected or Returned Shipments
7A.1 In the event that a shipment is refused entry, seized, delayed, or returned by foreign customs or regulatory authorities, the importer of record remains fully responsible for all associated costs, charges, and consequences. Once goods have departed from our UK warehouse, risk transfers in full to the importer. Returned goods that have left the UK supply chain will be placed in quarantine upon return and cannot be resold, redistributed, or refunded under any circumstances. No refund, credit, or replacement will be issued for goods refused or returned after export.
7A.2 Global Pharma Distributor shall not be liable for any loss, cost, or delay arising from customs detention, import refusal, or regulatory action outside its control. The importer of record remains solely responsible for ensuring compliance with import regulations and documentation requirements in the destination country.
8. Your Information
You consent to us using your data for administration, marketing, credit checks, and compliance with regulations.
We comply with GDPR (2018) and related data protection legislation.
We will use appropriate security measures to protect your data.
You may request updates or deletion of personal data by contacting our Data Protection Officer.
All information provided must be accurate, and you consent to verification with relevant third parties.
9. General
We may transfer our rights under these conditions to any third party.
You may not transfer your rights without our consent.
Notices must be in writing and sent to the agreed addresses.
Invalid or unenforceable clauses will not affect the remaining terms.
Except as stated, these terms do not confer rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
We may charge £10 per copy for requested documents.
We comply with the UK Bribery Act and require all customers and partners to uphold anti-corruption principles.
